Certain steps are involved in the process of resignation of director. For simplicity and understanding, I have categorised the entire process into 3 small parts. Further, links for samples of various documents required for resignation have also been provided with a view to assist you in this process.
PART 1 :Duties of Resigning Director:
The resigning director has two duties:
Duty 1: Furnishing of letter of resignation to the company stating the reasons, for the resignation.
Duty 2: Uploading of Form DIR 11 at the mca portal.
PART 2: Duties of the Company
Step 1: The resignation letter is received by the secretarial department of the company. The company secretary then sends a notice of Board Meeting informing all the other directors about such resignation.
Step 2: The Board Resolution is then passed, accepting the resignation of director.
Step 3: The company further passes another Board Resolution appointing any other officer of the company to fill up and submit form DIR-12 at the MCA portal.
PART 3: Acknowledgement of Resignation:
After all the duties and steps mentioned above are complied with, the company sends a letter of acknowledgement to the resigning director stating that his resignation is approved and duly notified to the Registrar of the Companies.
