Sir,The auditor of our company had resigned the company. We are planning to fill the casual vacancy…

Sir,

The auditor of our company had resigned the company. We are planning to fill the casual vacancy of auditor in AGM without calling EGM. Is it permissible to do so?

Please explain if we can appoint the auditor to fill the casual vacancy in the office of auditor and reappoint the same auditor for a further period of five years in the same AGM.

You need to hold EGM to appoint the auditor of the company.

In case of a casual vacancy of an auditor, it is to be filled by BOD within 30 days of resignation.

Same should be ratified in the member's meeting within 90 days of such appointment.
